Terms of service

These terms cover the work Proven Shorts does for you. "We" and "us" mean Proven Shorts, a marketing agency run by an individual, Kopal. "You" means the business that hires us. If anything here is unclear, ask before you start: [email protected].

What the service is

We study which short video formats already earn views in your category on Instagram. We then produce short vertical videos for your business in those formats, with captions, sounds and hashtags.

A month's videos are produced and delivered or posted during that month. We do not carry unused videos over into the next month unless we tell you in writing that we will.

The two delivery options

You choose one when we start, and you can switch by telling us.

What you own

You own the account, the followers and the videos we make for you. That is true under both options. We never hold your password. Under Option B our access is a partner permission inside Meta Business Suite that you granted, and you can revoke it at any time without telling us first.

Price and billing

Invoices are due within 7 days. If an invoice is still unpaid after 14 days we may pause production until it is settled, and we will tell you by email before we do.

The views fee and your ceiling

You set a ceiling on the views fee and we never bill past it. The default ceiling is $150 a month on Starter and $250 a month on Standard. You can set it lower or higher in writing before the month starts. The ceiling applies to the views fee only, not to the retainer.

Views are counted from the platform's own figures for the videos we produced for you, for that month. Under Option B we read them in Meta Business Suite. Under Option A you send us the figures from your account, and we bill on what you send.

Revisions, factual corrections and your right to decline

What you are responsible for

Before the first video you give us a one page facts sheet (your offer, prices, hours, location, claims) and a do not list (anything we must never say or show). You keep both current.

You are responsible for the accuracy of what you tell us and for whether you are allowed to say it. If your industry is regulated, if a claim needs a licence, a disclaimer or a qualification, or if a promotion has rules attached, that is your call to make and yours to get right. We will put on a video only what you have given us, and we will remove anything you tell us to remove. We do not give legal, medical, financial or regulatory advice, and we are not checking your claims against your regulator.

How the videos are made

Our videos are produced with AI generated footage. You are agreeing to that when you hire us. In detail:

Cancelling

You can cancel any month. Tell us by email. We stop producing at the end of the month you have paid for, you keep every video already delivered, and there is no cancellation fee and no notice period. We can also stop working with you, and if we do we will tell you by email and finish or refund the month in progress.

If you revoke our access

Under Option B you can remove our partner permission in Meta Business Suite at any time. If you do, we can no longer post or read the account's figures. Two things follow for that month: no views can be verified, so no views fee applies for that month, and the retainer for that month still stands, because the videos were made.

No guarantee of results

We do not guarantee any number of views, followers, enquiries, customers or sales. We do not guarantee that a video will be shown to any particular number of people, or that a format that worked for another business will work for yours. What we sell is production in a format we can show is already earning views in your category, and the billing is built so that the views fee only grows when the views do.

We also do not control Instagram or Meta. Platform rules, the way posts are distributed, outages, account restrictions and label requirements are theirs to set and can change without notice.

Limits on what we are liable for

We will do this work carefully and honestly. But we are a small agency selling a low cost monthly service, so there is a limit to what we can carry:

Changes to these terms

If we change these terms we will update this page and the date at the top, and we will email current clients about anything that affects them. A change applies from the next monthly cycle, not retrospectively.

Governing law

We set this out in the engagement email when you sign, so that it matches where your business and ours are based. If you want it settled before you commit, ask and we will put it in writing first.
